1. Acceptance of Terms
By accessing or using the PRISM platform ("Service"), operated by PRISM Technologies Pty Ltd ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
PRISM is an agentic SDLC orchestration platform that provides automated planning, execution, verification, and governance capabilities for software delivery workflows. The Service includes the PRISM dashboard, CLI tools, APIs, and associated documentation.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.
4. Subscription & Billing
Paid plans are billed monthly or annually as selected. Builder seat counts and execution credits are metered per your plan tier. Overages are billed at your plan's overage rate. You may upgrade or downgrade at any billing cycle. Unused credits do not roll over.
5. Your Data
You retain all rights to your code, data, and content processed through the Service. We do not claim ownership of your intellectual property. We access your data only as necessary to provide the Service, and we do not train models on customer data.
6. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy. You agree not to use the Service for any unlawful purpose, to interfere with the Service's operation, or to attempt unauthorized access to other accounts or systems.
7. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance. Scale and Enterprise plans include SLA-backed uptime commitments as detailed in your service agreement.
8. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
Either party may terminate the agreement at any time. Upon termination, your access to the Service will cease and we will delete your data within 30 days, unless retention is required by law. You may export your data before termination.
11. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-product notification at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be resolved in the courts of New South Wales.
